Sales and Delivery terms B2C, Private
Applying to purchases by consumers/private individuals from SODEMANN INDUSTRIFJEDRE A/S's website.

1. These terms apply to sales of both standard springs and special springs.

2. Prices and terms of payment

a. Prices and quantity discounts for standard springs are shown on the current price list and will be shown in the
shopping basket used for the purchase.

b. For collective orders, where deliveries are to be made on several occasions, prices, quantity discounts and freight
are to be calculated on the basis of each delivery - not for the whole of the collective order.

Open orders not yet delivered, or delivered orders, can only be changed on written agreement from Sodemann Industrifjedre A/S. If changes are made to ordered quantities in open or delivered orders, the rate of discount will also change; for that reason the unit price will always reflect the current price list and invoices will be issued accordingly.

c. The minimum invoice value for goods excl. freight costs is EUR 20.00 incl. VAT.

d. Prices are exclusive of VAT and freight costs. The total price of the item (including VAT and freight costs) will be
shown once the item is placed in the shopping basket and the shipping destination has been selected. All private
customers - regardless of nationality - must pay VAT.

e. Payment can only be made by debit/credit card. Immediately after placing an order, a receipt containing
all relevant order details will be sent to the provided e-mail address.

f. Payment will be refunded if the item fails to arrive as expected or if the right to withdraw from a transaction
described under point 7 is exercised.

g. If, regardless point 2.e, payment is not made on time, interest equivalent to the lending rate of Denmark's
Nationalbank plus 7 % will be calculated 30 days from the invoicing date. This is in accordance with
the regulations of the Danish Interest Act.

h. In the event of late payment, a charge will be made for any reminders sent out (DKK 100.00 per reminder).

3. Proprietary rights

a. If, contrary to expectations, payment is not made as stated under point 2.e, SODEMANN INDUSTRIFJEDRE A/S
is entitled to withhold delivery.

4. Limitation of liability

a. All rights reserved with regard to intermediate sales, temporarily unavailable item numbers, printing errors,
technical failures when using SODEMANN INDUSTRIFJEDRE A/S´s website, and resulting deficiencies in order
processing, etc. SODEMANN INDUSTRIFJEDRE A/S cannot be held responsible for any such circumstances.

b. The dimensions and spring travel and forces stated in the catalogue and on SODEMANN INDUSTRIFJEDRE A/S´s website are
average values for guidance only. SODEMANN INDUSTRIFJEDRE A/S cannot be held responsible for any
deviations from these average values. The values in printet catalogue can have been changed / updated after print.

c. In the case of actual shortages and product defects SODEMANN INDUSTRIFJEDRE A/S is only responsible if it can be
proved that the shortage or defect is caused by an error or neglect on the part of SODEMANN INDUSTRIFJEDRE A/S.
To the extent that nothing else is prescribed by mandatory rule of law, SODEMANN INDUSTRIFJEDRE A/S is not
responsible for loss of business or profit or other indirect loss suffered as a consequence of the above mentioned
shortages or product defects.

d. SODEMANN INDUSTRIFJEDRE A/S´s liability for damages is also limited to a sum of no more than the invoice total
for the delivery in question.

e. SODEMANN INDUSTRIFJEDRE A/S is not responsible for damage resulting from overloading of supplied springs or
any acid brittleness as a result of electrolytic surface treatment.

f. SODEMANN INDUSTRIFJEDRE A/S is exempt from liability in the event of force majeure.

5. Delivery

a. SODEMANN INDUSTRIFJEDRE A/S reserves the right, in deals concerning special springs, to over or under supply by
up to 10 % of the ordered quantity.

b. Over and under supply will be offset by a corresponding adjustment of the invoice sum.

c. Delivery will take place as quickly as possible and no later than 30 days from the placement of an order. If it is not
possible to deliver within a period of 30 days, SODEMANN INDUSTRIFJEDRE A/S will immediately inform the customer
of this, and indicate a possible delivery date.

d. If the ordered spring(s) do not arrive within the time limit stated in point 5.c, the purchase can be cancelled.
SODEMANN INDUSTRIFJEDRE A/S must be informed immediately if the cancellation clause is to be utilised and
any spring(s) already received must be returned immediately to SODEMANN INDUSTRIFJEDRE A/S. The sum paid
(cf. point 2) will be returned by SODEMANN INDUSTRIFJEDRE A/S once the returned springs have been received.

e. If any of the ordered springs do not arrive within the time limit stated in point 5.c, SODEMANN INDUSTRIFJEDRE A/S
must be informed of this immediately, so that replacement delivery can be implemented or the missing springs can
be forwarded as soon as possible.

6. Complaints

a. Complaints must be made direct to SODEMANN INDUSTRIFJEDRE A/S as soon as possible and within a reasonable
time of any deficiency having been discovered. See point 8 for further details.

7. Right to withdraw from a transaction and return of goods

a. There is a 14-day right to withdraw from the transaction for all items ordered online from SODEMANN
INDUSTRIFJEDRE A/S. This time limit commences from the date of receipt of the springs/the first of
multiple deliveries.

b. Please note that springs may stretch after loading, and are consequently not suitable for resale. For this very
reason, the springs are supplied in a transparent sealed plastic bag. If the right to withdraw from a transaction,
as described under point. 7.a, is to be exercised, the transparent plastic bag must not be opened in consideration
of the resale value of the springs. Otherwise SODEMANN INDUSTRIFJEDRE A/S is entitled to refuse the returned
goods.

c. Springs are to be returned to SODEMANN INDUSTRIFJEDRE A/S, Industrivej 21, 8260 Viby J, Denmark. Please also
refer to point 8.

d. Costs relating to return of springs, including freight, etc. shall be paid by the customer.
