Sales and Delivery terms B2B, Business
Applying to all trade between the customer and SODEMANN INDUSTRIFJEDRE A/S.
1. These terms apply to both ordinary purchases directly from SODEMANN INDUSTRIFJEDRE A/S and purchases from
SODEMANN INDUSTRIFJEDRE A/S´s website, and to sales of both standard springs and special springs.
2. Prices and terms of payment
a. Prices and quantity discounts for standard springs are shown in the online shop.
For items with no price or quantity discount shown, please enquire for information.
b. For collective orders, where deliveries are to be made on several occasions, prices, quantity discounts and
freight are to be calculated on the basis of each delivery - not for the whole of the collective order.
Open orders not yet delivered, or delivered orders, can only be changed on written agreement from Sodemann Industrifjedre A/S. If changes are made to ordered quantities in open or delivered orders, the rate of discount will also change; for that reason the unit price will always reflect the current price list and invoices will be issued accordingly.
c. The minimum invoice value
Ordering on the Online shop the minimum invoice value for goods excl. freight costs is 20 Euro excl. VAT.
Ordering via tel, fax, e-mail, letter, etc the minimum invoice value for goods excl. freight costs is 33 Euro excl. VAT.
d. Prices are exclusive of VAT and freight costs.
e. Terms of payment are 14 days from invoice date unless otherwise agreed.
f. Payment shall be made to Jyske Bank account no. 5075 1058947.

g. After the due date, interest will be calculated at 1.5% per month or part thereof.
h. In the event of late payment, a charge will be made for any reminders sent out (DKK 100.00 per reminder).
3. Proprietary rights
a. SODEMANN INDUSTRIFJEDRE A/S retains ownership of the supplied springs until full payment has been made.
4. Limitation of liability
a. All rights reserved with regard to intermediate sales, temporarily unavailable item numbers, printing errors,
technical failures when using SODEMANN INDUSTRIFJEDRE A/S´s website, and resulting deficiencies in order
processing, etc. SODEMANN INDUSTRIFJEDRE A/S cannot be held responsible for any such circumstances.
b. The dimensions and spring travel and forces stated in the catalogue and on SODEMANN INDUSTRIFJEDRE A/S´s website are
average values for guidance only. SODEMANN INDUSTRIFJEDRE A/S cannot be held responsible for any
deviations from these average values.The values in printet catalogue can have been changed / updated after print.
c. In the case of actual shortages and product defects SODEMANN INDUSTRIFJEDRE A/S is responsible only if it can be
proved that the shortage or defect is caused by an error or neglect on the part of SODEMANN INDUSTRIFJEDRE A/S.
To the extent that nothing else is prescribed by mandatory rule of law, SODEMANN INDUSTRIFJEDRE A/S is not
responsible for loss of business or profit or other indirect loss suffered as a consequence of the above mentioned
shortages or product defects.
d. SODEMANN INDUSTRIFJEDRE A/S´s liability for damages is also limited to a sum of no more than the invoice sum for
the delivery in question.
e. SODEMANN INDUSTRIFJEDRE A/S is not responsible for damage resulting from overloading of supplied springs or
any acid brittleness as a result of electrolytic surface treatment.
f. SODEMANN INDUSTRIFJEDRE A/S is exempt from liability in the event of force majeure.
5. Excess or short delivery
a. In deals concerning special springs SODEMANN INDUSTRIFJEDRE A/S reserves the right to over or
under deliver by up to 10 % of the ordered quantity.
b. Over and under delivery will be offset by a corresponding adjustment of the invoice sum.
6. Complaints
a. Any complaints must be made in writing within 8 days of delivery.
7. Return of goods
a. SODEMANN INDUSTRIFJEDRE A/S will not accept any returned springs without specific prior agreement. A return
number will be assigned for this agreement. This number must appear on any packages being returned. A return
agreement expires one (1) week after the date of the agreement. The customer pays for return.
b. Due to costs for quality control etc., no more than 50 % of the invoice sum will be credited in the event of a return.
8. Applicable law and venue
a. Any dispute between the customer and SODEMANN INDUSTRIFJEDRE A/S must be settled in accordance with Danish
law, with the law court in Århus as the venue agreed by the parties.
